AGREEMENT TO TERMS

PAYMENT TERMS

The client is responsible for providing complete and accurate billing information and for paying all amounts when due.

LATE PAYMENTS

Amounts not paid when due may be subject to reasonable late charges or other collection costs to the extent permitted by applicable law. The Company may suspend or delay services on accounts with overdue balances.

The client remains responsible for amounts incurred before any suspension or termination of services.

CANCELLATION

A client may request cancellation of an engagement by providing written notice. Cancellation does not eliminate the client's responsibility for services already performed, work already completed, approved expenses, or other amounts properly incurred before the effective cancellation date.

Specific cancellation provisions contained in a signed service agreement or statement of work will control if they differ from these general terms.

REFUNDS

Because consulting services involve time, professional work, planning, analysis, and other resources, payments for services already performed are generally non-refundable.

If a refund is appropriate, any refund will be determined according to the applicable service agreement and the circumstances of the engagement. Any approved refund will not exceed the amount actually paid for the affected services unless otherwise required by law.

CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate, complete, and timely information reasonably necessary for the performance of services.

The quality and usefulness of consulting services may depend on the accuracy and completeness of information provided by the client.

NO GUARANTEE OF RESULTS

Consulting services are intended to provide professional guidance, recommendations, planning, and support. UNISON GROUP INC does not guarantee any particular financial, operational, business, revenue, growth, or other result.

Business outcomes depend on circumstances and decisions beyond the Company's control.

PROFESSIONAL DISCLAIMER

Consulting services are provided for general business and operational purposes and are not a substitute for legal, tax, accounting, investment, financial, employment, or other specialized professional advice unless expressly stated in a written agreement and permitted by applicable law.

Clients should consult qualified professionals for advice specific to their circumstances.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, materials, methodologies, processes, systems, written content, and other materials developed or provided by UNISON GROUP INC remain the property of the Company to the extent permitted by law.

Clients may use materials specifically provided for their internal business purposes according to the applicable service agreement.

CONFIDENTIALITY

UNISON GROUP INC will use reasonable measures to protect confidential information provided by clients in connection with an engagement.

Confidentiality obligations may be further defined in a separate agreement when appropriate.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, UNISON GROUP INC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of this website or consulting services.

To the fullest extent permitted by law, the Company's total liability arising from a particular engagement will not exceed the amount paid by the client to the Company for the services giving rise to the claim.
